4. User Obligations

By using our Services, you agree to:

Provide accurate, complete, and up-to-date information when requested (e.g., during demo bookings or implementation).
Use the Services only for lawful purposes and in compliance with applicable laws.
Not misuse, reverse-engineer, or interfere with our Services or the Odoo platform.
Refrain from actions that infringe on the rights of third parties or Sanarise Teknoloji.

5. Payment Terms

Fees: The cost of our Services will be detailed in the quotation provided to you. Fees are subject to change with prior notice.
Payment: Invoices are due within 14 days of issuance unless otherwise agreed in writing. Late payments may incur legal interest rates as per Turkish law.
Currency: All payments shall be made in Turkish Lira (TRY) unless specified otherwise.

6. Intellectual Property

Ownership: The Odoo platform and any customizations developed by Sanarise remain the intellectual property of their respective owners (Odoo S.A. and Sanarise Teknoloji).
License: You are granted a non-exclusive, non-transferable right to use the Services for your business purposes, subject to these Terms and any applicable Odoo licensing agreements.
Restrictions: You may not copy, modify, distribute, or sell any part of the Services without prior written consent.

7. Data Protection

Your personal data is processed in accordance with our Privacy Policy (available at sanarise.com.tr/policy) and KVKK. By using our Services, you consent to the collection and processing of your data as outlined therein, including potential transfers to Odoo S.A. or other partners for service delivery.

8. Liability Limitation

Scope: Sanarise Teknoloji shall not be liable for indirect, incidental, or consequential damages (e.g., loss of profits, data, or business opportunities) arising from the use of our Services, except in cases of willful misconduct or gross negligence.
Limit: Our total liability is capped at the amount you paid for the specific Service giving rise to the claim.
Disclaimer: We strive to ensure Service reliability but do not guarantee uninterrupted or error-free performance, as some factors (e.g., internet connectivity) are beyond our control.

9. Termination

By You: You may terminate our Services by providing written notice, subject to fulfilling any outstanding payment obligations.
By Us: We may suspend or terminate your access to the Services without notice if you breach these Terms, fail to make payments, or engage in unlawful activity.
Effect: Upon termination, your right to use the Services ceases, but obligations (e.g., payment, confidentiality) accrued prior to termination remain enforceable.

10. Force Majeure

Sanarise Teknoloji shall not be liable for delays or failures in performance due to events beyond our reasonable control, such as natural disasters, government actions, or technical outages.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye. Any disputes arising from or related to these Terms shall be resolved exclusively by the courts and enforcement offices of İstanbul (Maltepe), Türkiye.

12. Amendments

We reserve the right to update these Terms at our discretion. Changes will be posted on our website (sanarise.com.tr/terms) with the updated date. Continued use of our Services after such changes constitutes acceptance of the revised Terms.
